Website Tip: Finding Reverse Mergers

May 24, 2011

The rough-and-ready way to find reverse merger activity on knowledgemosaic’s SEC Filings page is to do a search on 8-K Item 5.06, “Change in Shell Company Status.”  In a reverse merger transaction, a private company (the operating company) is absorbed into a public shell company, thus changing the status of that company and triggering the need for Item 5.06 disclosure.

The search, of course, can be refined by including additional search parameters, such as company location, industry, or time frame.
